# Terms of Use

These Terms of Use ("Terms") govern your access to and use of BuildTrade™ (the "Service"), a software platform for cryptocurrency market analysis, strategy building, backtesting, journaling, and order relay. The Service is provided by LifeBusiness Technologies, based in Québec, Canada ("we", "us"). By creating an account or using the Service you agree to these Terms, the [Risk Disclosure](https://buildtrade.app/legal/risk/), and the [Privacy Policy](https://buildtrade.app/legal/privacy/).

## 1. What the Service is — and is not

- BuildTrade™ is a **software tool and order relay**. It is not a broker, dealer, exchange, custodian, investment adviser, or money-services business.
- We **never hold your funds or assets**. Trades execute on third-party exchanges under your own accounts and credentials. For decentralized exchanges, manual trades are signed by your own wallet; automated trading uses restricted agent keys that cannot withdraw funds.
- Nothing in the Service — including indicators, strategy templates, backtest results, AI-companion output, and educational content — is investment, financial, legal, or tax advice. All trading decisions are yours alone.

## 2. Eligibility and jurisdictions

You must be of legal age in your jurisdiction and legally permitted to trade cryptocurrency derivatives or spot markets there. You are responsible for attesting your trading region truthfully. The Service enforces exchange-specific jurisdiction restrictions server-side and will refuse live order relay where an exchange prohibits your region; circumventing these controls is a violation of these Terms.

## 3. Third-party markets and services

Markets available through the Service are operated by third parties. Some Hyperliquid markets are deployed permissionlessly by independent third-party deployers ("HIP-3" markets); they are surfaced based on onchain activity and are **not reviewed, verified, or approved** by BuildTrade™. Interacting with them requires your explicit acknowledgment in the app and is entirely at your own risk. Exchange outages, API changes, or delistings are outside our control.

## 4. Your account and security

- Keep your credentials and any API keys confidential; you are responsible for activity under your account.
- Only provide exchange API keys that are trade-only and cannot withdraw. We refuse withdrawal-capable credentials by design.
- We may suspend accounts that abuse the Service, attempt to breach security, or violate these Terms.

## 5. Subscriptions and payments

Paid tiers are billed in advance (monthly or annually) via card or cryptocurrency through third-party payment processors. Crypto payments are pay-per-period and non-refundable once confirmed on-chain, except where required by law. Downgrades take effect at the end of the paid period. Prices may change with notice; changes never apply retroactively to an already-paid period.

## 6. Automated trading

Bots execute the rules you configure, on your credentials, at your risk. Software defects, connectivity failures, exchange behavior, and market conditions can all produce losses. You are responsible for supervising your bots and for the emergency-stop controls the Service provides.

## 7. Intellectual property

The Service, its branding, and its content are our property or licensed to us. You retain ownership of the strategies, journal entries, and other content you create; you grant us the limited license needed to operate the Service (storage, backtesting, rendering).

## 8. Disclaimers and limitation of liability

The Service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, we are not liable for trading losses, lost profits, or indirect, incidental, or consequential damages arising from use of the Service. Our aggregate liability is limited to the subscription fees you paid in the twelve months preceding the claim.

## 9. Changes and termination

We may update these Terms; material changes will be announced in the app with reasonable notice. You may stop using the Service and cancel your subscription at any time. Sections that by their nature survive termination (liability, IP, disputes) survive.

## 10. Governing law

These Terms are governed by the laws of the Province of Québec and the federal laws of Canada that apply there. This does not take away any protection that the consumer law of the place where you live gives you and that a contract cannot set aside.
